Please read these Terms of Use carefully before using this site. By using this site, you are deemed to have read, understood and signify your agreement with these Terms of Use. If you do not agree with any of the below Terms of Use, do not use this site. NewStep Networks Inc. ("NewStep Networks") reserves the right, in its sole discretion, to modify, alter or otherwise update these Terms of Use at any time without notice and you agree to be bound by such modifications, alterations or updates.
1. COPYRIGHTS AND RESTRICTIONS
This site is controlled and operated by NewStep Networks. All material on this site, or on any other web site owned, operated, licensed or controlled by NewStep Networks ("NewStep Networks' Web Sites") including, but not limited to text, images, illustrations, audio clips, video clips, and other material is protected by copyrights which are owned and controlled by NewStep Networks or by other parties that have licensed their material to NewStep Networks. Material from the Newstep Networks’ Web Sites’ may not be modified, copied, reproduced, republished, broadcast, uploaded, posted, transmitted, distributed, or commercially exploited in any way without NewStep Networks' prior written consent.
2. TRADEMARKS
The trademarks and logos displayed on NewStep Networks' Web Sites are the property of NewStep Networks or third parties. You are not permitted to use any of these trademarks without the prior written or electronic consent of NewStep Networks or the third party owner. Products referred to in NewStep Networks' Web Sites are trademarks or registered trademarks of NewStep Networks. All other products, services and company names mentioned in the NewStep Networks' Web Sites may be trademarks of their respective owners.
3. PRIVACY/SECURITY
a. NewStep Networks is very respectful about the privacy concerns of the visitors to its sites on the Internet. As a general policy, no personal information is automatically collected from visitors to its sites. However, certain non-personal information of visitors is recorded by the standard operation of NewStep Networks' servers. This information is primarily used to provide an enhanced online experience for the visitor. Information tracked includes the type of browser being used by the visitor, the type of operating system in use by the visitor and the domain name of the visitor's Internet service provider. By having this information, web pages optimized for a particular visitor's computer is automatically available to that visitor. Other uses of this information include internal review of the number of visitors to the sites but only in an aggregate and non-personally-identifiable form. E-mail addresses and other personally identifiable data about visitors to this site are known to NewStep Networks only when voluntarily submitted. Personally identifiable information that may be collected in connection with visitors voluntarily filling out forms or subscribing to newsletters is retained by NewStep Networks and not sold or otherwise transferred outside the company. This information is used to better understand visitors' use of our sites and to support transactions made on the sites. However, this data in an aggregate form may be provided to other parties for marketing, advertising or other uses. We sometimes also use e-mail addresses and other personally identifiable information to contact visitors who communicate with us. For example, we direct e-mail to visitors who provide us with their e-mail addresses for specific purposes such as receiving our e-mail newsletters. Each e-mail newsletter always contains instruction on how to discontinue receipt of the newsletter.
b. Many of the NewStep Networks’ Web Sites, including this one, place a "cookie" in the browser files of a NewStep Networks user's computer. The cookie itself does not contain any personally identifying information. Although the cookie could enable NewStep Networks to relate a user's use of a NewStep Networks site to information that the user has specifically and knowingly provided. Users should be aware that when they voluntarily disclose personal information (e.g., user name, e-mail address, telephone number) on the bulletin boards or in the chat areas, that information can be collected and used by others and may result in unsolicited messages from other people. To the extent that any of the NewStep Networks’ Web Sites accessible through NewStep Networks have additional practices, these practices will be explained at that site.
c. Users understand that the Internet and other various networking communication mediums are not secure, unless explicitly specified as such, and may be subject to interception or loss. NewStep Networks makes no warranties of any kind, either express, implied, or statutory concerning the data or information available through the network.
4. LINKED SITES
At certain places on this site, live 'links' to other Internet addresses can be accessed. Such external Internet addresses contain information created, published, maintained, or otherwise posted by individuals, institutions, or organizations independent of NewStep Networks. Accordingly, NewStep Networks does not endorse, approve, certify, or control, and is not responsible or liable for, these external Internet addresses, the contents, products or services offered, or practices of such external Internet addresses, and does not guarantee the accuracy, completeness, efficiency, timeliness, or correct sequencing of information located at such addresses. Use of any information located at such addresses or use of any information obtained from such addresses is voluntary and at your own risk, and reliance on it should only be undertaken after an independent review of its accuracy, completeness, efficiency and timeliness. Reference herein to any specific commercial product, process, or service by trade name, trade mark, service mark, manufacturer, or otherwise does not constitute or imply endorsement, recommendation, or favouring by NewStep Networks.
5. DISCLAIMER AND LIMITATION OF LIABILITY
The materials in NewStep Networks' Web Sites are provided "as is" and without warranties of any kind either express or implied. To the fullest extent permissible pursuant to applicable law, NewStep Networks disclaims all warranties, express or implied, written or oral, arising by statute, operation of law, usage of trade, course of dealing or otherwise as to the NewStep Networks' Web Sites or the content of the NewStep Networks' Web Sites including, but not limited to, implied warranties of merchantability, merchantable quality, satisfactory quality, title, non-infringement and fitness for a particular purpose. Without limiting the generality of the foregoing, NewStep Networks does not warrant that the functions contained in the materials will be uninterrupted or error-free, that defects will be corrected, or that NewStep Networks' Web Sites, the content, email sent from NewStep Networks or the server that makes them available are free of viruses or other harmful components. NewStep Networks does not warrant or make any representations regarding the use or the results of the use of the materials in NewStep Networks' Web Sites in terms of their correctness, accuracy, reliability, or otherwise. You (and not NewStep Networks) assume the entire cost of all necessary servicing, repair or correction. Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not apply to you. IN NO EVENT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, GROSS NEGLIGENCE, AND FUNDAMENTAL BREACH WILL NEWSTEP NETWORKS OR THOSE FOR WHOM IT IS IN LAW RESPONSIBLE BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE NEWSTEP NETWORKS’ WEB SITES, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY LOSS, INCLUDING WITHOUT LIMITATION, LOSS OF BUSINESS, REVENUES, PROFITS, GOODWILL, USE, DATA, COMPUTER TIME OR ANY OTHER ECONOMIC OR COMMERCIAL LOSS, ARISING OUT OF OR IN CONNECTION WITH (A) THE USE OR THE INABILITY TO USE THE NEWSTEP NETWORKS’ WEB SITES, THE CONTENT OR MATERIAL AVAILABLE OR REFERRED TO ON THE NEWSTEP NETWORKS’ WEB SITES OR ANY PRODUCTS OR SERVICES; (B) UNAUTHORIZED ACCESS TO, USE OF OR ALTERATION OF YOUR SUBMISSIONS OR DATA OR DAMAGES ARISING FROM DISCLOSURE BY YOU OF ANY INFORMATION ON THE NEWSTEP NETWORKS’ WEB SITES; OR (C) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE NEWSTEP NETWORKS’ WEB SITES OR FORUMS EVEN IF SUCH DAMAGES WERE FORSEEABLE OR NEWSTEP NETWORKS OR THOSE FOR WHOM IT IS IN LAW RESPONSIBLE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
6. INDEMNITY
You agree to defend, indemnify and hold NewStep Networks and those for whom it is in law responsible, harmless from and against any and all liabilities, costs, losses and expenses (including court costs and reasonable attorney’s fees) arising out of any claim, action, proceeding or demand of any third party due to or arising directly or indirectly out of or from your activities in connection with any of the NewStep Networks’ Web Sites or its content, including without limitation, your violation of these Terms of Use, your violation of any rights of any third party, or from your breach of any of your agreements, representations, or warranties contained herein.
7. SUBMISSIONS
a. You agree to grant to NewStep Networks a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sublicense, to use, reproduce, distribute, transmit, modify, create derivative works of, publicly display and publicly perform any materials and other information (including, without limitation, ideas contained therein for new or improved products and services) you submit to any public areas of the NewStep Networks’ Web Sites (such as bulletin boards, forums and newsgroups) or by e-mail all means and in any media now known or hereafter developed. When you submit material to NewStep Networks' Web Sites, you agree that NewStep Networks has the right to publish the material for any type of use as outlined above including promotional and advertising purposes.
b. NewStep Networks is not responsible for any material posted on our Forums.
8. USE OF THE SITE AND FORUMS
You may only use the NewStep Networks’ Web Sites and Forums and any content, material or information contained on the NewStep Networks’ Web Sites for lawful purposes. Without limiting the generality of the foregoing, you may not post, upload, publish, reproduce, broadcast, transmit or otherwise distribute other material or emails on the NewStep Networks’ Web Sites or Forums that:
a. would be considered threatening, libelous, defamatory, obscene, pornographic, abusive, an invasion of privacy or otherwise constitutes a criminal offence or violates any law or the rights of any person or entity;
b. encourages conduct that would constitute a criminal offence or otherwise violates any law or the any rights of any person or entity;
c. is confidential or protected by patent, trade mark, trade secret, copyright, or any other intellectual property right, or derivate works without obtaining the prior consent of the owner of such confidential information or intellectual property right; or
d. advertises or otherwise solicits funds or is a solicitation for goods or services.
NewStep Networks will fully co-operate with any law enforcement authorities or court order requesting or directing NewStep Networks to disclose the identity of anyone posting any such e-mails or materials.
9. DOWNLOADED SOFTWARE SUBJECT TO LICENSE TERMS
Any software that is made available to download from this site is the copyrighted work of NewStep Networks and/or its affiliates or suppliers. Use of the software is governed by the terms of the Licence Agreement which accompanies or is included in the software. A user cannot install any software unless such user first agrees to the terms of the Licence Agreement.
10. COOPERATION WITH AUTHORITIES
NewStep Networks reserves its rights to disclose any information as necessary to satisfy any law, regulation, or governmental request and to investigate suspected violations of these Terms of Use, including gathering information from the user(s) involved and the complaining party, if any, and examination of material on NewStep Networks servers and network. Violations of these Terms of Use may subject you to criminal or civil liability or other legal action. You consent to and authorize NewStep Networks and its agents to cooperate with: (a) law enforcement authorities or governmental agencies in the investigation of suspected violations of applicable law; and (b) system administrators or other Internet service providers or other network or computing facilities to enforce these Terms of Use.
11. JURISDICTIONAL ISSUES
a. This site is controlled and operated by NewStep Networks from its offices within the Province of Ontario, Canada. NewStep Networks makes no representation that materials in NewStep Networks' Web Sites are appropriate or available for use in other locations. Those who choose to access this site from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.
b. This agreement shall be governed by, construed and enforced in accordance with the laws of the Province of Ontario, as it is applied to agreements entered into and to be performed entirely within such province. Any action you, any third party or NewStep Networks bring to enforce this agreement or, in connection with, any matters related to this site shall be brought only in the courts of the Province of Ontario, and you expressly consent to the jurisdiction of said courts. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between the parties relating to the matters contained herein and shall not be modified except in writing, signed by NewStep Networks. The parties confirm that it is their wish that this Agreement as well as all other documents relating to this Agreement, including notices, be drawn up in English only.
